Key Clauses
IP Description

Consideration
Payment amount, schedule, and whether lump sum or royalty-based.
Warranties
Assignor warrants they own the IP, it doesn't infringe third-party rights, and there are no encumbrances.
Registration Transfer
Assignor cooperates with re-registration of IP in assignee's name at DIP.
Moral Rights Waiver
For copyright: author waives moral rights (attribution, integrity) to extent permitted by law.
Warnings
IP assignments must be in writing to be enforceable.
Trademark assignments should be registered with the Department of Intellectual Property (DIP).
Copyright moral rights cannot be fully waived under Thai law — only limited waiver possible.
