Intellectual Property Assignment Agreement

Key Clauses
IP Description
Specific identification of IP being assigned: registration numbers, descriptions, jurisdictions.
Assignment of Rights
Full and unconditional transfer of all rights, title, and interest. Worldwide and perpetual.
Consideration
Payment amount, schedule, and whether lump sum or royalty-based.
Warranties
Assignor warrants they own the IP, it doesn't infringe third-party rights, and there are no encumbrances.
Registration Transfer
Assignor cooperates with re-registration of IP in assignee's name at DIP.
Moral Rights Waiver
