Employee Confidentiality Agreement (NDA)

Obligations
Employee must not disclose, copy, or use confidential information except for job duties.
Duration
During employment AND for a specified period after termination (typically 2-5 years).
Return of Materials
Employee must return all confidential materials (physical and digital) upon termination.
Exceptions
Information that is publicly available, independently developed, or legally required to disclose.
Remedies
